A legally sound, ethical, and balanced framework ensuring safety, strict compliance with third-party APIs, and protection for merchants and end-customers alike.
1. Acceptance of Terms & Core Mission
By accessing, registering, or integrating with RAD ZAKI, you enter into a binding legal agreement governed by these Terms of Service.
Our platform is designed as an ethical, multi-tenant conversational sales enablement infrastructure. We exist to create genuine commercial value while preserving absolute transparency, mutual respect, and data integrity for all parties involved:
For Merchants
Autonomous customer engagement, automated BANT qualification, zero transaction cuts, and complete data ownership.
For Customers
Fast and truthful inquiries, clear product pricing, zero deceptive scarcity, and instant opt-out respect.
For API Partners
Strict compliance with Meta, WhatsApp, Stripe, DocuSign, HubSpot, and cloud terms without abuse.
2. Compliance with Third-Party API Services
Rad Zaki interfaces with external platforms. As a merchant or user, you agree to comply fully with the respective terms of all connected services:
- ✓Meta Platforms & WhatsApp Business Policy: Merchants must obtain valid customer consent prior to sending promotional broadcasts. Automated systems must honor "STOP", "UNSUBSCRIBE", and cancellation requests immediately. We enforce webhook signature verification (`x-hub-signature-256`) and adhere to the official 24-hour customer service window.
- ✓Payment Processors (Stripe International): All payment link interactions are non-custodial. Funds flow directly from customers to the merchant's verified Stripe account across global currencies. Rad Zaki never touches transaction balances or stores unencrypted payment credentials.
- ✓Enterprise CRMs (HubSpot, Salesforce): Synced lead attributes and deal pipelines must represent authentic prospective customer engagements collected lawfully without unauthorized bulk scraping.
3. Islamic Commercial Ethics & Fair Trade (آداب وأحكام البيع والشراء)
Rad Zaki embeds foundational principles of Islamic commercial jurisprudence directly into our autonomous sales logic:
الصدق والبيان (Absolute Truthfulness)
Autonomous agents must quote verified prices, accurate stock levels, and precise product specifications without ambiguity or deception.
تحريم الحلف بالأيمان (No Oaths in Marketing)
The platform strictly forbids taking oaths by Allah or colloquial swearing to coax consumers into buying goods.
نفي الغرر والتدليس (Zero Artificial Scarcity)
Fabricated countdown timers, non-existent limited quantities, and fictitious discount baselines are systematically prohibited.
تيسير الإقالة وحق الخيار (Facilitating Rescission)
Merchants agree to uphold fair return, replacement, and cancellation procedures, treating customers with benevolence when they seek to cancel orders.
4. Acceptable Use Policy & Safe Environment
To maintain a safe and trusted environment, the following activities are strictly prohibited and result in immediate account termination:
- Offering prohibited, illegal, hazardous, or non-halal items (counterfeits, narcotics, usurious interest contracts, gambling).
- Sending unsolicited promotional spam or harassing customers who have opted out.
- Attempting to bypass platform rate limits, tamper with webhook signatures, or conduct unauthorized vulnerability scanning.
- Using the AI sales agent to propagate deceptive health claims, fraudulent investment advice, or hate speech.
5. Human-in-the-Loop & Merchant Oversight
While our AI operates autonomously, high-stakes interactions (such as legal threats, chargeback claims, dispute escalations, or transactions exceeding store thresholds) are automatically held in Pending Approval state.
Merchants maintain full operational control and the right to take over any conversation at any time via the Unified Inbox.
6. Data Portability, Deletion & Service Termination
You own your data. You may export all store catalogs, conversation transcripts, and order logs in standard JSON format anytime via /api/user/export-data.
You have the right to terminate your account and trigger a cascade deletion of all tenant data via /api/user/delete-account in accordance with GDPR, CCPA, and regional data protection regulations.
7. Total Platform Exoneration & Intermediary Safe Harbor
CRITICAL LEGAL DECLARATION — PRIVITY OF CONTRACT DISCLAIMER:
Rad Zaki operates solely as an independent software infrastructure and communications conduit (Application Service Provider). Rad Zaki is NOT a merchant, retailer, wholesaler, supplier, buyer, broker, payment aggregator, financial institution, or legal agent for any user.
- No Privity of Contract: Every sale, purchase order, quote, proposal, or subscription facilitated via our platform creates an exclusive, bilateral legal contract directly between the Merchant and the Customer. Rad Zaki is NOT a party to such transactions.
- Exoneration from Merchant Fraud & Breach: Rad Zaki is entirely absolved and exonerated from any liability arising from merchant non-delivery, product defects, counterfeit merchandise, delayed shipments, fraudulent claims, deceptive advertising, or failure to issue lawful refunds.
- Exoneration from Buyer Fraud & Abuse: Rad Zaki is entirely absolved and exonerated from any liability arising from buyer friendly fraud, stolen credit cards, unauthorized chargebacks, extortion, false complaints, or payment disputes.
8. Absolute Merchant Indemnification & Fraud Clause
Every merchant utilizing Rad Zaki agrees unconditionally to defend, indemnify, and hold completely harmless Rad Zaki, its founders, directors, employees, affiliates, and technology partners from and against any and all claims, civil or criminal lawsuits, regulatory fines, chargeback penalties, tax liabilities, or legal costs arising out of:
- The merchant's breach of these Terms, Sharia fair commerce directives, or consumer protection statutes.
- Any fraudulent, misleading, illicit, or counterfeit goods offered by the merchant.
- Disputes or payment reversals filed by customers against the merchant via Stripe, card networks, or banks.
Rad Zaki reserves the immediate, unappealable right to suspend or permanently terminate any merchant account suspected of fraudulent behavior and to transmit relevant evidentiary dossiers to payment processors and international law enforcement.
9. Evidentiary Audit Trail & Protection Against Abusive Buyers
To deter malicious buyer extortion, bad-faith disputes, and friendly fraud, Rad Zaki automatically generates cryptographically fingerprinted audit dossiers (SHA-256) contemporaneously documenting all chat consent events, DocuSign contract hashes, Stripe payment references, and rights disclosures.
In the event of a frivolous or fraudulent chargeback filed by a customer, this evidentiary packet is automatically made available to the merchant and acquiring banks as definitive legal proof of fulfillment and consent.
10. Maximum Ceiling of Liability
To the maximum extent permitted by applicable international law, in no event shall Rad Zaki or its licensors be liable for any indirect, incidental, punitive, special, or consequential damages (including loss of profits, revenue, data, or goodwill).
Under all circumstances, Rad Zaki's aggregate liability for all claims arising out of or related to the software shall not exceed the total fees paid by the merchant directly to Rad Zaki during the thirty (30) days immediately preceding the event giving rise to liability, or $100.00 USD, whichever is lesser.
